SMITHFIELD REAL FLAVOR REAL FAST Promotion

NO PURCHASE OR PAYMENT OF ANY KIND NECESSARY TO ENTER OR WIN. A PURCHASE OR PAYMENT WILL NOT IMPROVE YOUR CHANCES OF WINNING.

ELIGIBILITY:
The Smithfield Real Fresh Real Flavor Real Fast Promotion, which consists of a written contest (“Contest”) and a sweepstakes (“Sweepstakes”) (collectively, the “Promotion”) is open only to individual, legal residents of the 50 United States and the District of Columbia (“D.C.”) and Puerto Rico, who are 21 years of age or older as of the date of entry. Employees, officers and representatives of Smithfield Fresh Meats Sales Corp. (“Sponsor”), Advantage Solutions d/b/a Edge Marketing (“Administrator”), each of their respective parent companies, affiliates, subsidiaries, advertising, fulfillment and marketing agencies, and members of the immediate families (spouse, parent, grandparent, child, grandchild, sibling and their respective spouses, regardless of where they reside) and households (whether related or not) of any of the above are not eligible to participate in the Promotion. By participating, you agree to be bound by the Official Rules and the decisions of the Sponsor and Administrator, which are final and binding in all respects. Void outside the 50 United States/D.C., Puerto Rico, and where prohibited by law. The Promotion is subject to all applicable federal, state and local laws and regulations.

TIMING:
The Promotion begins at 12:00:01 PM Eastern Time (“ET”) on 7/15/19 and ends on 10/11/19 at 11:59:59 AM ET (the “Promotion Period”). The Contest Entry Period to enter a tip/trick when cooking with Smithfield Marinated Pork begins 12:00:01 PM ET on 7/15/19 and ends 11:59:59 AM ET on 9/13/19 (the “Contest Entry Period”). The Sweepstakes Entry Period begins at 12:00:01 PM ET on 9/18/19 and ends at 11:59:59 AM ET on 10/11/19 (the “Sweepstakes Entry Period”).

TO ENTER THE CONTEST:
Create an original dinner time-saving tip and/or trick that includes a Smithfield Marinated Fresh Pork product in one (1) of the three (3) Contest Entry Categories: 1) Meal Preparation, 2) Cooking Method and 3) Fresh Pairing side dish to complete a quick dinner meal (each an “Entry Category”), then visit www.SmithfieldRealFlavorRealFast.com (the “Website”) during the Contest Entry Period to register and complete a contest entry form to submit your original tip and/or trick (“Contest Entry”). BY SUBMITTING A CONTEST ENTRY, ENTRANT ACKNOWLEDGES THAT HIS/HER ENTRY MAY BE POSTED ON THE WEBSITE, AT SPONSOR’S DISCRETION.It is not a requirement to purchase any Smithfield Marinated Pork product or that the pork in the time-saving tip and/or trick be a Smithfield branded Marinated Pork product; however Smithfield Marinated Pork must be specified in the text of the Contest Entry including the time-saving tip and/or trick.Tips and/or tricks must showcase how entrant is able to get dinner ready while saving time and using Smithfield Marinated Fresh Pork. Tip or trick must be original; being the product of one’s own mind and is not a copy or imitation, must be in 50 words or less and submitted in English. Entrant must include his/her legal name and a valid email address where entrant can be contacted, in connection with the Contest Entry. In the event entrant fails to provide the required information on the Contest Entry form, and/or if the required information on the Contest Entry form is not valid, and/or if the Contest Entry form or any part of Contest Entry is not successfully submitted, any such attempted Contest Entries will become null and void. In case of a dispute as to the identity of an entrant, Contest Entry will be considered to have been made by the authorized account holder of the email address provided on the Contest Entry form regardless of the individual that submitted the Contest Entry. Sponsor reserves the right to disqualify any Contest Entry it deems to be inappropriate, offensive or is not in keeping with Sponsor’s image, at its sole discretion. Any Contest Entry with tips and/or tricks that do not include specific reference to a Smithfield Marinated Fresh Pork product, or Contest Entries which in the sole opinion of Sponsor, are deemed not to be original or deemed to be inappropriate for publication will be disqualified. All Contest Entries become the sole property of the Sponsor and will not be acknowledged or returned. Sponsor not responsible for illegible, lost, late, damaged, incomplete, inaccurate, delayed or misdirected Contest and/or Sweepstakes Entries or for computer system, phone/cable line, hardware, software or program malfunctions, or other errors, failures or delays in computer transmissions or network connections that are human or technical in nature. Use of automated devices to enter is prohibited.

TO ENTER THE SWEEPSTAKES:
Register to vote during the Sweepstakes Entry Period by visiting www.SmithfieldRealFlavorRealFast.com and successfully vote and you will automatically receive one entry (“Sweepstakes Entry”). Limit of up to three (3) Sweepstakes Entries (one (1) per Entry Category) per person/email address per day). For the purposes of these Official Rules, a ‘day’ is defined as any twenty-four (24) hour period during the Sweepstakes Entry Period beginning at 12:00:01 PM ET and ending at 11:59:59 AM ET. Entrants who identify Walmart as their preferred Smithfield Marinated Pork retailer on the registration page (“Walmart Gift Card Drawing Entries”) will also be entered into an additional Walmart Gift Card Drawing.
Submission of a Contest Entry grants Sponsor and its agents an unlimited, worldwide, perpetual license and the right to copy, publish, use, adapt, edit and/or modify such Contest Entry in any way, in any and all media, without limitation or further consideration to entrant. Entrant agrees upon Sponsor’s request and without consideration of any kind to sign any and all documents that Sponsor may require so as to confirm the foregoing grant of rights in his/her Contest Entry.
Contest Entries must not have been published prior to submission and may not have been submitted in any other competition. Contest Entries must be unpublished, must be your original work, been solely created by entrant for the purposes of entering this Promotion, and cannot infringe upon any rights of any third party including but not limited to copyright, or other intellectual property rights, or rights of privacy or publicity. Any entrant whose entry includes reference of third parties must be able to provide legal releases for such use including Sponsor’s use of such tip and/or trick, in a form satisfactory to Sponsor, upon request, prior to awarding of prize and/or naming of entrant as a potential winner Sponsor reserves the right to disqualify any Contest Entry it deems to be not original, inappropriate, offensive (obscene, provocative or otherwise questionable content; e.g., vulgar or hate speech), or not in keeping with Sponsor’s image for its brand, in its sole discretion. Sponsor reserves the right to waive the Contest entry requirements set forth herein in its reasonable discretion. By submitting a Contest Entry, you agree that your submission is gratuitous and made without restriction, and will not place Sponsor under any obligation and that Sponsor is free to disclose or otherwise disclose the Contest Entry on a non-confidential basis to anyone or otherwise use the ideas without any additional compensation to entrant. Entrant acknowledges that, by acceptance of your submission, Sponsor does not waive any rights to use similar or related ideas previously known to Sponsor, or developed by its employees, or obtained from sources other than entrant.
There is no limit on the number of original Contest Entries that an individual can submit, however an individual cannot submit the same tip and/or trick more than once, including in a different Contest Entry Category. Contest and/or Sweepstakes Entries that are generated by a script, macro, or other automated means and/or otherwise not in compliance with these Official Rules will be disqualified. Automated methods of entry, including entry via unauthorized third party websites or services, are prohibited. Sponsor and Administrator are not responsible for (a) electronic transmissions or Contest and/or Sweepstakes Entries that are lost, late, stolen, incomplete, inaccessible, damaged, garbled, destroyed, misdirected or not received by Sponsor or its agents for any reason; (b) any problems or technical malfunctions, errors, omissions, interruptions, deletions, defects, delays in operations or transmission, communication failures or human error that may occur in the transmission, receipt or processing of Contest and/or Sweepstakes Entries (including but not limited to the issuance of automated responses by Sponsor or its agent), or for destruction of or unauthorized access to, or alteration of entries; (c) failed or unavailable hardware, network, software or telephone transmissions, damage to entrants’ or any person’s computer, mobile device and/or its contents, or causes beyond Sponsor’s or Administrator’s reasonable control that jeopardize the administration, security, fairness, integrity or proper conduct of this Promotion; (d) incorrect or inaccurate entry information whether caused by entrants or by any of the equipment or programming associated with or utilized in the Promotion; (e) any typographical or other error in any printing or advertising related to this Promotion, in the administration or execution of the Promotion, or in the announcement of the prize winners; or (f) cheating or fraud by any entrant. Sponsor is not responsible for any interruptions in phone service, unavailable network, server, Internet Service Provider (ISP), Website or other connections that may limit a person’s ability to participate in the Promotion. In the event of a dispute regarding Contest and/or Sweepstakes Entries received from multiple users having used the same e-mail account, the authorized subscriber of the e-mail account will be deemed to be the entrant. Authorized account subscriber is the natural person who is assigned the e-mail address by the ISP, on-line service provider or other organization responsible for assigning e-mail addresses for the applicable domain. Incomplete or otherwise non-compliant Contest and/or Sweepstakes Entries will be void. Sponsor not responsible for change in email or mailing address of entrant.
CONTEST ENTRIES REPRESENT SOLELY THE VIEWS/OPINIONS OF THE APPLICABLE ENTRANT AND DO NOT REFLECT THE VIEWS/OPINIONS OF SPONSOR IN ANY MANNER. SPONSOR IS MERELY REQUESTING PERSONS TO POST TIPS AND/OR TRICKS AND DISCLAIMS ANY AND ALL LIABILITY IN CONJUNCTION WITH SAME; THIS INCLUDES BUT IS NOT LIMITED TO LIABILITY FOR MONITORING/REVIEWING/MODERATING CONTEST ENTRIES POSTED AND/OR RE-POSTED, AS THE CASE MAY BE, ON THE WEBSITE. SPONSOR WILL NOT EDIT OR MODIFY TIPS AND/OR TRICKS POSTED/RE-POSTED AS PROMOTION ENTRIES.

CONTEST SEMI-FINALIST JUDGING:
On or between 9/13/19 and 9/18/19, all eligible Contest Entries will be judged by Sponsor and its agents (at Sponsor’s discretion) whose decisions are final and binding in all matters relating to the judging. Contest Entries will be judged on the following criteria: 1) How time-saving; tip or trick showcases entrant’s ability to get dinner ready while saving time using Smithfield Marinated Fresh Pork – 45%; and 2) Originality and Creativity of tip or trick (using Smithfield Marinated Pork) – 45% (“Initial Judging Criteria”). Starting 9/18/19, the fifteen (15) Contest Entries (5 per Entry Category) with the highest score based on the Initial Judging Criteria, will be deemed semi-finalists (“Semi-Finalist”) and be posted for public voting on the Website. Following the conclusion of the public voting period each of the Contest Entries deemed a Semi-Finalist will be judged calculating in the score from the Initial Judging Criteria and eligible public votes. Public Votes will count for 10% of the Contest Entry’s total score. On or about 10/14/19, the Top three (3) scoring Semi-Finalists, one (1) per Entry Category, will be deemed a finalist (“Finalist”) with the opportunity to have a 1 in 3 chance of being deemed the Contest Grand Prize winner. Each Contest Semi-Finalist shall receive a Semi-Finalist prize. In the event of a tie, tie breaker will be based upon the highest score in the first judging criteria, continuing thereafter to each judging criteria in order, as needed, to break the tie. If an entrant does not see his/her Contest Entry posted for the public vote, the Contest Entry did not score high enough during the semi-final judging. Any Contest Entry that is not included in those posted for public vote is not eligible to become a Semi-Finalist, Finalist or the Contest Grand Prize winner and is also not eligible to receive a Top Vote Prize (as defined below).

CONTEST PUBLIC VOTING:
The Semi-Finalists (5 per Entry Category) will be posted on the Website. During the Voting Period, visitors can vote for the tip and/or tricks that are most helpful in preparing, cooking and fresh meal pairing while using Smithfield Marinated Fresh Pork while also helping save time. By voting, you will automatically receive one entry (for a maximum of three (3) Sweepstakes Entries per person/per day; one (1) per Entry Category per day) into the Sweepstakes Drawing. Voting period is as follows: 12:00:01 PM ET on 9/18/19 through 11:59:59 AM ET on 10/11/19 (“Voting Period”). If more than one (1) vote per Entry Category is received from the same person and/or email address during any given day, all votes from said person or email address will be disqualified. Sponsor will confirm voting totals, in its sole discretion and Sponsor reserves the right to void all votes made through any script, macro, robotic, automatic, mechanical, programmed or similar duplication method. Vote counts are not official until verified by the Sponsor, in its reasonable discretion. Any attempt by the entrant and/or its respective family/friends to vote more than the number of times authorized herein, using multiple names and/or email addresses and/or any other fraudulent mechanism, as determined by the Sponsor in its sole discretion, shall give the Sponsor the right to disqualify the entrant in Sponsor’s reasonable discretion. Any attempt by any person to fraudulently circumvent the voting restrictions in order to cast multiple votes will result in disqualification of all such votes received and may result in disqualification of the entrant(s) for whom the improper votes were received if the Sponsor determines that that Entrant was involved in any way in the perpetration of such fraud.

CONTEST WINNER SELECTION:
Finalists will be judged by Administrator and Sponsor on the criteria as follows: 1) how time-saving tip or trick showcases how person is able to get dinner ready while saving time (using Smithfield Marinated Fresh Pork) – 50% and 2) Creativity and Originality of tip or trick – 50% (“Final Judging Criteria”). In case of a tie, all tied Contest Entries will be judged by an additional tie-breaking judge using the criteria stated herein. In addition, the three (3) Semi-Finalist Contest Entries (1 from each Entry Category) that receive the highest number of eligible votes from the general public voting will receive a top vote winner prize (“Top Vote Winner Prize”). Winners are subject to verification; and the Contest Entries must meet the entry requirements. Top Vote Winners and the Contest Grand Prize will be notified on or about 10/26/19. A recipient of a Top Vote Winner Prize may or may not be deemed a Contest Finalist. Contest Finalists will be determined by combining results from the Initial Judging Criteria and public vote totals. The Contest Entry with the highest total score following the Final Judging Criteria will be named the Contest Grand Prize winner, subject to verification, in Sponsor’s sole discretion.

PRIZES FOR CONTEST:
One (1) Grand Prize: a 3-night/4-day trip for 2 people (winner & one guest) to Wine Country in Napa Valley, CA (“Contest Grand Prize”). Grand Prize includes: round trip, coach air transportation from a major gateway airport near winner’s home (at Sponsor’s discretion) to a major gateway airport near San Francisco, CA, 3 nights hotel accommodations (1 room, dbl. occ.), a VIP tour and wine tasting at two (2) Napa Valley wineries (as specified by Sponsor), lunch for winner and guest on the Napa Valley wine train (based on availability, at Sponsor’s discretion), a $300 transportation allowance and a $500 dining allowance (both awarded in the form of a pre-paid debit card). Blackout dates and additional restrictions may apply. Approximate Retail Value (“ARV”): $5,000; actual value may vary due to departure location and airfare fluctuations. Winner and guest must travel on the same itinerary and on dates specified by Sponsor or prize will be forfeited in its entirety. If winner resides within 120 miles of San Francisco, CA, ground transportation will be provided in lieu of air and no compensation will be given in lieu thereof. Meals (other than specified herein), gratuities, luggage fees, incidental hotel charges and any other unspecified travel-related expenses and the sole responsibility of winner. Exact travel dates and arrangements subject to availability. Travel must be completed by 12/31/20 and be booked at least 60 days prior to anticipated departure date. Once travel arrangements have been booked, no changes will be permitted by winner. Any difference between stated approximate retail value and actual value of prize will not be awarded. Guest of Contest Grand Prize winner must be at least 21 years of age at the time of travel and will be required to complete, sign and return a liability/publicity release prior to booking of travel arrangements. Contest Grand Prize Winner and guest shall be responsible for having all necessary identification and/or travel documents (i.e., a valid U.S. Driver’s license or passport) required for travel.)
Fifteen (15) Contest Semi-Finalist Prizes (5 per Entry Category): a $50 pre-paid debit card. Pre-paid debit card use is subject to the terms and conditions set by the issuer. ARV: $50 each.
Three (3) Top Vote Prizes (1 per Entry Category): a Smithfield Gift Pack. ARV: $200 each.
Limit of one Contest Semi-Final prize per person across all entry categories. Total ARV of Contest prizes: $6,350.00.

SWEEPSTAKES DRAWING AND PRIZES:
There will be a random drawing conducted on or about October 28, 2019. The random drawing will be conducted by Administrator, from all eligible Sweepstakes entries received from all entry categories to award; Forty (40) Prizes: a $25 prepaid debit card. ARV: $25 per prepaid debit card.
Walmart Gift Card Drawing: There will be a random drawing conducted on or about October 28, 2019. The random drawing will be conducted by Administrator, from all eligible Walmart Gift Card Drawing Entries received: One Hundred (100) Prizes: a $50 Walmart Gift Card. ARV: $50 per Walmart gift card.
Gift cards subject to terms and conditions as stated thereon. Limit of one sweepstakes prize and one Walmart gift card prize per person/household/e-mail address. Odds of winning a Sweepstakes prize will be determined by the number of eligible Sweepstakes Entries received.
Total ARV of all Sweepstakes prizes: $6,000.00.

PRIZE RESTRICTIONS:
No substitution, assignment or transfer of prize permitted by winner. Prizes cannot be redeemed for cash, but Sponsor reserves the right to substitute a prize of comparable or greater value, at its sole discretion if an advertised prize or portion thereof becomes unavailable. All federal, state and local taxes and any other costs and expenses associated with the acceptance and use of any prize not specified herein are the sole responsibility of each winner.

WINNER NOTIFICATION/VERIFICATION:
Potential winners will be notified by email used to enter the Contest and/or Sweepstakes. Potential winners must respond to such email notification with the requested information within 48 hours or the prize may be forfeited and may be awarded to an alternate winner. Potential Contest Grand Prize winner will be required to complete, sign and return an Affidavit of eligibility, liability release and (where lawful) a publicity release and an IRS Form W9. A winner may be issued an IRS Form 1099 for any prize worth $600 or greater. Noncompliance by date specified for the return of the documents, or return of these documents or any prize or prize notification as undeliverable, will result in disqualification. Sponsor is not responsible for any change of email or mailing address. All prizes will be awarded assuming a sufficient number of eligible Contest and/or Sweepstakes Entries are received respectively.

GENERAL CONDITIONS:
All federal, state and local income taxes on the prize are the sole responsibility of the winner. Allow approximately 4-6 weeks for shipment of Prizes following verification of eligibility. Entry into this Promotion and/or acceptance of any prize constitutes winner’s agreement (and agreement to confirm this grant in writing, if requested) and permission for Sponsor and its agencies to use winner’s name/likeness, photograph and limited biographical information for advertising and trade purposes in any and all media worldwide without limitation and without further notice or compensation, unless prohibited by law. Acceptance of a prize further constitutes winner’s acknowledgement that the Released Parties (as defined below) have neither made, nor are in any way responsible or liable for, any warranty, representation or guarantee, express or implied, in fact or in law, relative to the prize, including but not limited to its quality, mechanical condition or fitness for a particular purpose. By participating and/or accepting a prize (if applicable), Promotion entrants agree to release and forever discharge, hold harmless and covenant not to sue Sponsor, Administrator and each of their respective parent companies, affiliates, subsidiaries, distributors, agents, prize providers and promotional partners and promotion and advertising agencies and the employees, directors and officers of each of the foregoing entities (collectively, the “Released Parties”), from and against any and all claims, demands, damages, losses and liabilities, of any nature whatsoever, which they may now or hereafter assert, including but not limited to, claims for injury, death, damages, or illness arising out of or relating to or claimed to be arising out of or relating to participation in the Promotion, prize acceptance (if applicable), or the use or misuse of any prize (if applicable) or participation in any prize-related activity (if applicable) or while preparing for or traveling to any prize-related activity. Sponsor and its agents are not responsible for any printing or other errors in Promotion-related material. Sponsor reserves the right, in its sole discretion, to cancel, terminate or suspend this Promotion should causes beyond the control of Sponsor corrupt the administration, security or proper play of the Promotion. If the Promotion is terminated before the intended end date, Sponsor will award the prizes which will be determined from all eligible Contest and/or Sweepstakes Entries received prior to the Promotion termination with respect to the specific prize. CAUTION: ANY ATTEMPT BY ANY INDIVIDUAL TO DELIBERATELY DAMAGE OR UNDERMINE THE LEGITIMATE OPERATION OF THE PROMOTION MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS, AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO DISQUALIFY, PROSECUTE AND SEEK DAMAGES AND OTHER REMEDIES (INCLUDING ATTORNEYS’ FEES) FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW. By entering, entrant agrees that: (a) any and all disputes, claims and causes of action arising out of, or connected with, the Promotion or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the appropriate court located in the Commonwealth of Virginia; (b) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Promotion but in no event attorneys’ fees; and (c) to the extent allowed by applicable law, under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim, indirect, punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, entrant’s rights and obligations, or the rights and obligations of the Sponsor in connection with the Promotion, shall be governed by, and construed in accordance with, the laws of the Commonwealth of Virginia without giving effect to any choice of law or conflict of law rules (whether of the Commonwealth of Virginia or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the Commonwealth of Virginia. The invalidity or unenforceability of any provision of these Official Rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, the Official Rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. In the event there is a discrepancy or inconsistency between disclosures or other statements contained in any Promotion-related materials and the terms and conditions of these Official Rules, the Official Rules shall prevail, govern and control.
